1. Scope
These terms apply to agreements for the purchase of services from AI-Flow (registered legal name: AI-Flow Nowak, org. no. 937 399 359), referred to as “AI-Flow”, entered into with a business client (“the Client”).
These terms apply exclusively to business-to-business (B2B) transactions. AI-Flow does not sell services to consumers. Norwegian consumer-protection legislation (the Right of Withdrawal Act, the Consumer Purchases Act, and the Craftsmen Services Act) therefore does not apply to agreements governed by these terms, as those acts are limited to consumer relationships.
Where these terms conflict with a signed agreement or Statement of Work (SOW), the signed agreement prevails.
2. Public procurement — Norwegian Standard Contracts (SSA)
These terms do not apply where the Client is a public contracting authority procuring the service via Statens standardavtaler (SSA) or an equivalent standard contract. In that case, the signed SSA contract and its attachments apply, including any separate data processing agreement included in the attachments, which take precedence over both these terms and AI-Flow’s general Data Processing Agreement.
3. Formation of the agreement
An agreement is formed when both parties have signed a Statement of Work (SOW) or equivalent order confirmation describing the scope, price, and timeline for the relevant engagement (workshop, integration project, or retainer).
4. Prices and payment
All prices are stated in Norwegian kroner (NOK) and are exclusive of value-added tax (VAT/MVA) unless expressly agreed otherwise. AI-Flow is registered in the VAT Register; VAT is added at the applicable rate, and sales documents state the organisation number followed by the letters MVA, in accordance with Enhetsregisterloven § 7-2.
Payment terms:
- Norwegian clients: NET 30 from invoice date, unless otherwise agreed in the SOW.
- Clients outside Norway (EU/other): NET 14 from invoice date, unless otherwise agreed.
- Late payment accrues interest under the Norwegian Late Payment Interest Act.
5. Intellectual property
Unless otherwise agreed in writing in the SOW, AI-Flow retains copyright in methodology, templates, source-code frameworks, and other groundwork not developed specifically for the Client. The Client receives a non-exclusive right to use the delivered results for its own purposes. Solutions and configurations developed specifically for the Client under a paid engagement transfer to the Client upon full and final payment, unless otherwise agreed.
6. Confidentiality
Both parties shall treat trade secrets and other confidential information received from the other party as confidential, and shall not share it with third parties without consent, except as required by law or necessary for sub-contractors bound by equivalent confidentiality obligations. This obligation survives the end of the engagement.
Unless the Client objects in writing, AI-Flow may reference the collaboration in general/anonymised form (industry and region, without company name) for reference purposes. Reference including the Client’s name requires separate written consent and may be withdrawn by the Client at any time, with a 30-day removal period.
7. Free Automation Audit
The initial discussion does not create an obligation to order a project. Scope, fees, deliverables and acceptance criteria are agreed in writing before paid work starts. Estimates of savings or return on investment are not guarantees.
8. Limitation of liability
AI-Flow’s total liability under an agreement is limited to the amount the Client has paid for the relevant engagement over the preceding 12 months, or — for standalone projects/workshops — the agreed price for the engagement.
AI-Flow is not liable for indirect losses, including business interruption, loss of use, loss of anticipated profit from an agreement with a third party, or damage to anything other than the deliverable itself (cf. the Sale of Goods Act § 67(2), applied by analogy).
These limitations do not apply in cases of intent or gross negligence.
9. Use of artificial intelligence
AI-Flow’s core business is advising on and building AI-based solutions. Where a delivery includes integration of third-party AI systems (for example language models from Anthropic or similar), the parties agree to the following allocation of responsibility under Regulation (EU) 2024/1689 (the AI Act):
- AI-Flow acts as a provider of integration services, not as a “provider” of the underlying AI system within the meaning of the AI Act, unless expressly agreed otherwise in the SOW.
- Should the Client ask AI-Flow to affix the Client’s own trademark to an AI system, make substantial modifications to a high-risk system, or change the purpose of a system such that it becomes high-risk (cf. AI Act art. 25), the Client is advised that this may transfer provider obligations to the Client itself. Such deliveries require separate written clarification before work begins.
- Automations AI-Flow typically builds (customer service, lead generation, candidate databases) are not normally considered high-risk systems. Where a delivery touches areas such as recruitment/HR, credit scoring, or public welfare services, a dedicated risk assessment is carried out before work begins.
10. Force majeure
Neither party is liable for delay or defects caused by circumstances beyond its reasonable control, including power outages, internet outages at third-party providers, natural disasters, or government action. The affected party shall notify the other party without undue delay.
11. Term and termination
Standalone engagements (workshop, project) run until the deliverable is completed and paid for. Retainers (monthly subscriptions) continue until terminated by either party with 30 days’ written notice, unless otherwise agreed in the SOW. On termination, payment is due for work performed up to the termination date.
12. Claims and limitation period
Claims relating to the delivery must be raised in writing within a reasonable time after the defect was or should have been discovered. Claims are time-barred under the general rules of the Norwegian Limitation Act (LOV-1979-05-18-18), normally 3 years from the date the claim could first have been asserted.
13. Governing law and venue
The agreement is governed by Norwegian law. Disputes not resolved amicably are settled by Trondheim District Court (Trondheim tingrett), unless mandatory legislation provides otherwise.
